These Terms of Use ("Terms") govern your access to and use of the DomesticStaffApp website, mobile application, and related online services (collectively, the "Platform"), which are operated by DomesticStaffApp Technologies Limited ("we", "our", or "us").

1. Definitions

  • "Platform" means the DomesticStaffApp website, mobile app, APIs and all online services made available by us.
  • "User" or "You" means Customers, Domestic Staff/Service Personnel, Agents, Employers, or any person accessing the Platform.
  • "Customer" means any individual or organisation posting jobs or hiring service personnel through the Platform.
  • "Service Personnel" / "Domestic Staff" means any individual offering domestic services (for example, housekeepers, nannies, drivers, cooks, cleaners, caregivers, stewards, etc.) via the Platform.
  • "Agent" means any User or entity registered to onboard, manage, or represent Service Personnel on the Platform.
  • "Account" means a User profile created to access and use the Platform.
  • "Content" means all text, information, data, images, videos, reviews, ratings, or other material uploaded, submitted, or displayed on the Platform.
  • "Subscription" means any paid plan or package that enables extended access to features such as viewing contact details or premium tools.
  • "Personal Information" has the meaning given under the Nigeria Data Protection Act 2023 and the Nigeria Data Protection Regulation 2019 (NDPR).

2. Nature of Our Service (Platform Only - No Employment Relationship)

The Platform is a digital marketplace and management tool that enables Customers to post jobs or service requests; allows Service Personnel and Agents to create profiles and find opportunities; and provides subscription-based access to certain information and features.

We are not a recruitment agency or employer. We do not hire, employ, or supervise Service Personnel, nor do we enter into contracts of employment on behalf of Users, guarantee identity, skills, performance, character, or suitability of any User, or participate in salary negotiation, work schedules, or employment conditions.

All agreements, negotiations, background checks, and payments between Customers, Service Personnel, and Agents occur outside the Platform and are entirely at the discretion and risk of the parties involved.

3. Acceptance of Terms

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and all applicable laws and regulations in Nigeria. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

If you are using the Platform on behalf of a company, household, agency, or other entity, you represent that you have authority to bind that entity to these Terms.

4. Amendments to These Terms

We may update or amend these Terms from time to time for legal, regulatory, security, or operational reasons. Where changes are material, we will notify you by email and/or by posting a notice on the Platform. Your continued use of the Platform after any such changes take effect constitutes your acceptance of the updated Terms. If you do not agree with any changes, you must stop using the Platform.

5. Eligibility and Registration

To register and use the Platform, you must be at least 18 years old and have full legal capacity to enter into binding agreements.

When registering, you may be required to provide your full name, phone number, email address, password, and additional profile information, as well as payment or subscription information where applicable.

You agree that all information you supply is accurate, current, and complete, and that you will promptly update such information when it changes.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to notify us immediately if you suspect any unauthorised access to or use of your Account.

6. User Responsibilities

6.1 Responsibilities of Customers

Customers agree to provide accurate job descriptions (including location, duties, working hours, expectations, and any other relevant conditions), to treat Service Personnel and Agents with fairness and respect, to conduct their own due diligence before engagement, and to ensure compliance with Nigerian labour, immigration, and tax laws.

6.2 Responsibilities of Service Personnel and Agents

Service Personnel and Agents agree to provide truthful and accurate information, represent skills and experience honestly, communicate professionally with Customers, and manage negotiations and contracts directly with Customers. They acknowledge they are not employees, partners, or representatives of DomesticStaffApp Technologies Limited.

7. Subscriptions, Payments and Refunds

Certain features of the Platform may only be available via a paid Subscription. Payments are processed through secure third-party providers. We do not store your card details.

Once a Subscription is activated and premium features have been accessed, subscription fees are non-refundable except where required by law. We may modify subscription prices and available plans from time to time, and such changes will apply to future billing cycles.

8. Acceptable Use and Prohibited Activities

You agree not to use the Platform for any unlawful or fraudulent purpose, post false or misleading information, harass or abuse other Users, attempt to hack or scrape Platform data, introduce malicious code, or circumvent access control or payment restrictions. You also agree not to impersonate any person or misrepresent your affiliation.

9. Availability of the Platform

We aim to ensure that the Platform is available and functioning correctly, but we do not guarantee uninterrupted access or error-free operation. We may suspend access for maintenance, upgrades, or security reasons, or modify or discontinue features. We shall not be liable for loss resulting from any such suspension or modification carried out in good faith.

10. User Content, Reviews and Ratings

By submitting Content, you grant DomesticStaffApp Technologies Limited a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute such Content in connection with the operation and promotion of the Platform.

You are responsible for ensuring your Content does not infringe third-party rights or violate the law. We may remove or disable Content that breaches these Terms.

11. Intellectual Property

The Platform and all related content, including logos, designs, software, databases, text, images, and graphics, are the exclusive property of DomesticStaffApp Technologies Limited and/or its licensors and are protected under Nigerian copyright and intellectual property laws.

You may access and view the Platform for your personal or internal business use. You may not copy, modify, reproduce, distribute, or publicly display any part of the Platform without prior written consent.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to our data processing practices.

13. Security

You must not attempt to compromise the security of the Platform. We may cooperate with law enforcement authorities and pursue civil and/or criminal remedies for suspicious or malicious activity.

14. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. We make no warranties, whether express, implied, or statutory, including fitness for a particular purpose, non-infringement, continuous availability, or accuracy of User Content.

15. Limitation of Liability

To the fullest extent permitted by Nigerian law, DomesticStaffApp Technologies Limited shall not be liable for any loss of profits, revenue, data, business opportunities, or any indirect, incidental, punitive, or consequential damages arising out of or in connection with your use of the Platform.

Our total aggregate liability for claims arising out of or related to the Platform shall be limited to the amount of subscription fees paid by you in the three (3) months preceding the event giving rise to the claim, if any.

16. Indemnity

You agree to indemnify and hold harmless DomesticStaffApp Technologies Limited, its directors, employees, agents, and partners from claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to your use of the Platform, breach of these Terms, violation of third-party rights, or misuse of the Platform by someone using your Account.

17. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform if you breach these Terms, receive credible complaints, are required to do so by law, or we reasonably believe your use poses a risk. You may close your Account at any time by contacting support. Termination does not affect accrued rights or obligations.

18. Third-Party Links and Advertising

The Platform may contain links to third-party websites or services. These are provided for convenience only, and we do not endorse or assume responsibility for their content or practices.

19. Notices

Notices from us to you may be delivered via email, in-app notifications, or notices posted on the Platform. Notices from you to us must be sent to info@domesticstaffapp.com.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be addressed amicably first, then mediation, and where mediation fails, arbitration in Abuja, Nigeria, under the Arbitration and Mediation Act 2023, or the competent courts in Nigeria as agreed.

21. General Provisions

  • No Waiver: Our failure to enforce any right under these Terms shall not constitute a waiver of that right.
  • Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
  • Assignment: You may not assign your rights or obligations without our prior written consent. We may assign our rights to an affiliate or successor.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding use of the Platform.
